In accordance with the Companies and Other Business Entities Act [Chapter 24:31] and Statutory Instrument 108 of 2025, all companies and other business entities incorporated prior to April 2024 are required to re-register on the new electronic Companies Registry system.

This statutory re-registration exercise is part of the Government of Zimbabwe’s transition from a manual Companies Registry to a modern, centralized electronic platform

Deadline for Re-Registration

The prescribed deadline for completion of the re-registration process is 20 April 2026.

Entities Required to Re-Register

The requirement applies to all business entities registered with the Registrar of Companies.

Failure to re-register by the stipulated deadline will result in automatic deregistration and removal from the Companies Register. A deregistered entity will:

  • Lose its legal standing to operate; and
  • Risk its company name becoming available for registration by other entities.

Documentation and Information Required

Entities must ensure that the following documents and records are available and up to date for purposes of re-registration:

  • Certificate of Incorporation
  • Memorandum and Articles of Association
  • CR5 and CR6 forms
  • Up-to-date annual returns
  • Current particulars of directors and shareholders
